When to use this template

Consulting SOWs are critical because the deliverable is intellectual output — easy to expand, hard to define vaguely. This template locks down session counts, research scope, deliverable formats, and crucially, what "implementation" means (it is out of scope).

Project Overview

Sets the context, parties, and purpose. This is the first thing a client reads and the last thing they remember.

This Statement of Work governs a consulting engagement between [Agency/Consultant Name] ("Consultant") and [Client Name] ("Client") focused on [Topic: e.g. go-to-market strategy / operations review / digital transformation]. The Consultant will conduct research, facilitate workshops, and deliver written strategic recommendations as defined below. Implementation of recommendations is outside this scope unless separately agreed. All work is governed by the terms herein.

Scope of Work

The complete list of what you will deliver. If it is not listed here, you are not obligated to do it.

Out of Scope

Equally important as scope. Explicitly naming exclusions kills the "I thought that was included" conversation.

  • Implementation of any recommendations — execution work requires a separate engagement
  • Project management, team management, or any operational work
  • Recruiting, HR advisory, or legal advice
  • Software procurement, vendor selection, or technology implementation
  • Interviews or workshops beyond the counts listed above
  • Research beyond the defined scope areas
  • Ongoing retainer or advisory services after delivery of final recommendations
  • Training or coaching of Client team members
  • Any deliverable not listed in the Scope of Work above

Timeline & Milestones

Commitments on both sides. Milestones keep projects moving and give you a paper trail when clients cause delays.

Revision Policy

The most violated clause in any SOW. Define exactly what a revision is, how many are included, and what extra costs.

Two (2) rounds of revisions are included for written deliverables (findings report and recommendations document). Revisions must be submitted as consolidated written feedback within five (5) business days of each delivery. Revisions that substantially change the scope of research or add new areas of analysis are Change Orders, not revisions.

Payment Terms

Protect your cash flow. Late payment clauses and upfront deposits are non-negotiable for sustainable agencies.

Total project fee: $[Amount]. Payment schedule: 50% ($[Amount]) due upon signing. 50% ($[Amount]) due upon delivery of the final recommendations document and presentation deck. Expenses (travel, accommodation, research subscriptions) are billed separately at cost with receipts, subject to prior written approval for any expense over $[threshold]. Change Order Policy

The scope creep firewall. Every out-of-scope request routes through here — no exceptions.

Any additional interviews, workshops, research areas, deliverables, or implementation work not listed in this SOW requires a written Change Order. The Consultant will provide a written estimate within three (3) business days. Verbal agreements during workshops or calls do not constitute authorisation.

Assumptions & Dependencies

Shift responsibility for inputs to the client. If they don't deliver, the timeline moves.

  • Client will provide access to nominated stakeholders for interviews within the agreed timeline
  • Client will supply all relevant data, reports, and background materials within the first week of the engagement
  • A single executive sponsor will be the primary Client contact with authority to approve deliverables
  • Client will provide consolidated feedback from all internal stakeholders at each review stage
  • Workshop participants will be available and prepared on agreed dates — rescheduling with less than 48 hours notice incurs a $[fee] fee
  • Recommendations are based on information available and provided during the engagement — the Consultant is not responsible for the outcome of implementation

Acceptance Criteria

Define "done" before you start. Silence-equals-acceptance clauses prevent endless feedback loops.

The engagement is accepted when: (1) all deliverables listed in the Scope of Work are delivered; (2) the final presentation has been conducted; and (3) Client provides written acceptance, or fails to respond within seven (7) business days of final delivery. The Consultant retains the right to use anonymised project learnings for thought leadership unless otherwise agreed in writing.

Frequently asked questions

Should I include implementation in a consulting SOW?

Only if you are explicitly responsible for execution. Most consultants deliver recommendations and stop there. Be explicit that implementation is out of scope to avoid being held accountable for outcomes you don't control.

How do I handle stakeholder interviews that run long?

Cap them in the SOW (45–60 minutes each) and list the total count. Interviews beyond the count, or sessions that expand significantly, are change orders.

What if the client wants ongoing advisory after delivery?

That's a retainer — a separate engagement with its own SOW. Indicate in this SOW that ongoing advisory is out of scope and propose a separate retainer if appropriate.
